03 / Investment criteria
Every opportunity is unique. We look for durable businesses with valuable assets, capable leadership and a credible path to growth, recovery or realization.
Key tangible or hard-to-see assets with meaningful underlying value.
Known demand and the ability to generate current or future cash flow.
Experienced, committed teams aligned through ownership and personal risk.
Constructive customer, supplier, employee, creditor and shareholder relationships.
Several paths to deleveraging or realization beyond refinancing or liquidation.
Revolving and term loans, delayed draw facilities, standby/backstop facilities, DIP and interim financing.
Preferred share investments, typically in no- or low-leverage companies.
$20 million to $300 million direct, with no syndication risk; larger financings may be anchored selectively.
$5 million to $100 million in preferred securities, generally with board representation.
Non-sponsored debt can reduce dilution while adding financial and strategic value.
Debt may be demand-based or committed up to five years. Preferred equity may include put/call or redemption features.
Interest-only and flexible schedules, including free-cash-flow sweeps or event-driven amortization; equity dividends may accumulate.
Financial maintenance covenants and operational KPIs appropriate to the situation.
Debt for growth, turnaround, distress and restructuring situations. Equity for growth and turnaround in no- or low-leverage companies.
Critical operating assets, including reserves, patents, software, rights, licenses, customer lists and contracts.
Senior secured, stretch, second lien, first-lien stretch or unitranche debt; preferred equity senior to common and management shareholders.
Primarily Canada, with United States opportunities considered depending on the situation.
Working capital, acquisitions, expansion, R&D, refinancing, recapitalization and restructuring. We do not finance transactions solely to fund dividends or share repurchases.
